This is a hands-on role for a commercially minded attorney who enjoys working closely with business teams. The role will take ownership of day-to-day commercial legal matters, with a primary focus on SaaS contracting, data privacy, technology, and practical legal support for Sales, Customer Success, Operations, Product and Governance, Risk & Compliance. The position also offers exposure to AI, digital advertising, global contracting structures, and evolving U.S. regulatory requirements.

Key Responsibilities

Commercial Contracting

  • Draft, review, and negotiate SaaS agreements, master services agreements, order forms, terms and conditions, statements of work, data processing agreements, nondisclosure agreements, vendor agreements, and partnership agreements.

  • Support customer and vendor negotiations by balancing legal and commercial risk with business objectives and deal timelines.

  • Help standardize and continuously improve contract templates, clause libraries, negotiation playbooks, approval processes, and contracting workflows.

  • Identify material legal and business risks, clearly communicate recommended positions, and escalate issues appropriately.

Data Privacy, Product & Technology

  • Advise on U.S. privacy and data protection matters affecting customer, vendor, employee, and candidate data, including contractual requirements and data-processing arrangements.

  • Provide practical legal support regarding data flows, privacy notices, security commitments, data retention, cross-border transfers, and customer privacy requirements.

  • Partner with Product and Governance, Risk & Compliance, as well as business teams on technology and AI matters, with guidance from senior legal team members.

  • Monitor relevant developments in federal, state, and local privacy, technology, digital advertising, cybersecurity, and AI laws and translate them into actionable business guidance.

  • Support legal reviews of products, features, marketing claims, and operational processes.

Business Partnership

  • Act as a trusted legal partner to Sales, Customer Success, Product, Operations, Finance and Governance, Risk & Compliance.

  • Provide responsive, pragmatic, and business-oriented advice on day-to-day legal matters.

  • Partner closely with the Sales and Customer Success to expedite the contract review process.

  • Translate complex legal concepts into clear recommendations and practical next steps for non-legal stakeholders.

  • Build strong relationships across functions and contribute to a culture of thoughtful risk management and shared accountability.

U.S. & Global Legal Support

  • Support legal matters across the U.S. and assist with international or cross-border matters in partnership with the global legal team.

  • Contribute to global legal projects, policies, training, and compliance initiatives.

  • Coordinate with outside counsel when appropriate and help manage related work efficiently.

  • Maintain organized and accurate legal records, contract documentation, and matter tracking.

Qualifications

  • Juris Doctor degree from an accredited U.S. law school.

  • Admission to, and good standing with, the New York State Bar.

  • Approximately 3-5 years of relevant legal experience in a law firm, in-house legal department, or a combination of both.

  • Experience drafting and negotiating commercial technology or SaaS agreements.

  • Working knowledge of U.S. privacy and data-protection requirements and related contractual issues.

  • Experience supporting an international, technology, SaaS, advertising, or digital-products business is preferred.

  • Exposure to AI, cybersecurity, digital advertising, or product counseling is a plus.

What We’re Looking For

  • A practical, solution-oriented attorney who understands business realities and can distinguish material risk from lower-priority issues.

  • Strong contract drafting, issue-spotting, negotiation, and written communication skills.

  • Sound judgment, discretion, and a high degree of integrity when handling confidential information.

  • Ability to manage multiple priorities and deliver high-quality work in a fast-paced environment.

  • Comfort working across functions, time zones, and jurisdictions.

  • A proactive mindset, intellectual curiosity, and willingness to grow into broader legal topics.
